TERMS OF SERVICE
Indiassetz Infra Services Private Limited operates a 'Family Office ' for managing real estate wealth in India, for clients in India and across the globe. By registering as a client with Indiassetz Infra Services Private Limited, you become entitled to avail of a broad spectrum of services in relation to management of your & your family's real estate wealth. Property brokerage services, if required, are offered through registered real estate agents, including its associate firm Indiassetz, under separate terms to be mutually agreed between us.
For the purposes of these Terms of Service, "we ", "our " and "us " shall mean Indiassetz Infra Services Private Limited and "you " and " your " shall mean a person or a group of persons (having a joint property) who seeks to register as a client of Indiassetz Infra Services Private Limited.

1.1. You can register as a client by providing the details sought in our registration form and making payment of a one-time registration fee. By registering as a client, you become entitled to avail a range of services for managing your real estate assets as well as the real estate assets owned by your spouse and children. In case you need such services for your extended family as well, do let us know; we will be happy to provide the same with an add-on fee.
1.3. Upon registering as a client, you will receive a password and account designation. You shall be: (i) responsible for maintaining the confidentiality of your account and the password; and (ii) fully responsible for all activities that occur under your account. You agree to: (i) immediately notify us of any unauthorized use of your account or any other breach of security; and (ii) ensure that you logout from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this Clause 1.3.
You may register as our client if you are competent and eligible to: (i) enter into a legally binding agreement; and (ii) be bound by these Terms of Service. You shall not register as a client if you are not competent to enter into a contract under the law applicable to you.
2.1. If you represent a company, partnership firm or any other entity, you shall be eligible to register as a client on its behalf, only if you have been duly authorized by way of necessary corporate action, as may be prescribed statutorily and/or under the charter documents of such entity.
3.1. By registering as a client, you, and your family, become entitled to a wide range of real estate wealth management services, as set forth herein and as may be updated and modified from time to time. We may provide such services to you ourselves or procure the same for you from suitable vendors or service providers.

3.3. For each of the services, we request you to obtain a fee quote, which will be provided to you depending on the exact scope of the work involved. A broad indication of the kind of fee that may be charged is provided in our Indicative Schedule of Charges (Annexure C). However, please note that the same is only indicative and is not binding upon either of us.
4.1. Our services are rendered to you on an "as is" and on an "as available" basis. It will be our sincere endeavor to advise you on your service needs related to real estate assets in the best possible way to meet your expectations, but, we do not make any representations or warranties that our advises and services will meet your expectations or that your real estate wealth will stand improved or augmented upon availing our advises and services, because these are related to market conditions and other factors, which are beyond our control. You are requested to make an independent assessment of the need and suitability of our services before registering as our client.
4.2. We shall expend reasonable efforts to make our website and the contents, functions and features thereon available for your use; however, we do not make any representation that our website and the contents therein shall be available uninterrupted and error-free. You are requested to get in touch with us prior to obtaining any of the services.
4.3. While all our services are rendered in good faith, we are not responsible for the outcome thereof. Specifically, we are not responsible for any increase or decrease in the value of your real estate assets, in case you have relied on and acted upon the basis of our advisory services.
4.4. Each registered client acknowledges, agrees and understands that Indiassetz only seeks to provide a platform wherein the Client and Service provider / professional can be brought together and Indiassetz itself does not have a role in the execution or provision of services.
4.5. We are not responsible for any delays in rendering our services due to reasons beyond our reasonable control, including but not limited to natural disasters, civil disturbances, acts of terrorism and changes in applicable laws, regulations and government policies.
4.6. We do not endorse or support any third-party websites, links or advertisements that may appear on our website and we are not responsible for the contents thereof. In case you access any such third-party websites or links or rely on any information appearing in such advertisements, you will be doing so at your own risks.
5. INTELLECTUAL PROPERTY
5.1.Our website, the underlying source code and all the trademarks, copyright and any other intellectual property rights of any nature therein or associated therewith are owned by us and/or our licensors and you may use the same only for the purpose of obtaining information about us or for availing our services and not for any other purpose.
5.2. Any intellectual property generated during the course of rendering our services shall vest with us and if required, a right to use the same shall be given to you.
6.1. Any information submitted to us (i) that is not in public domain; and (ii) that is not made available by a third party without an obligation of confidentiality, will be protected as confidential and will not be disclosed by us to others except for the purpose of rendering services to you, for legitimate purposes on a need-basis or in case we are called upon to disclose the same by any court of law or law enforcement agency.
7. REPRESENTATIONS AND WARRANTIES
7.1. You hereby represent and warrant that you are legally competent to register as our client and avail of our services.
7.2. You further represent and warrant that all real estate assets in respect of which our services are availed have been legally acquired, without breaching applicable money laundering laws, exchange control laws, anti-corruption laws and any other laws and regulations as may be applicable from time to time.
8.1. Each of us shall indemnify the other without limitation from and against any and all claims, damages, costs and expenses, including reasonable attorneys' fees, arising from or related to a breach of applicable laws and regulations or a breach of the representations and warranties undertaken herein.
9. LIMITATION OF LIABILITY
9.1. Neither of us shall be liable to the other for any indirect, special or consequential losses arising out of a breach of these terms of service, including but not limited to loss of investment opportunities, loss of anticipated profits, loss of potential income, third party litigation in respect of the real estate assets and/or loss of expected returns, even if advised of the possibility thereof.
9.2. In no event shall indiassetz infra services private limited or any of its directors or agents be liable to you for any damages howsoever arising, whether based on contract, tort or otherwise, on account of, including without limitation: (i) any damage or loss caused due to you accessing or using our website or your reliance on the information set out therein; and/or (ii) any interruptions or delay in accessing our website and the contents therein.
10.1. Your registration may be terminated by either of us at any time, by providing the other, prior written notice of 30 (thirty) days.
10.2. We may terminate our engagement with immediate effect upon notice to you in case (i) we become aware of any breach of your representations or warranties; (ii) there is a relevant change in applicable laws and regulations; or (iii) if such termination is necessitated by any law, regulation or ruling of a court or government authority.
10.3. Upon termination for any reason,
10.3.1.1. we shall hand over to you (i) any documents pertaining to your real estate assets that were provided to us; and (ii) any of your confidential information that we may possess.
10.3.1.2. you will forthwith pay us any fees accrued towards services rendered by us and reimburse any approved expenses incurred in connection therewith.
There shall be no further obligations between us thereafter.
11.1. All notices to be sent pursuant to these Terms and Conditions shall be sent:
11.1.1. To you, at the email address provided by you in the registration form; and
11.1.2. To us, at firstname.lastname@example.org
12.1. If any part of these Terms of Service are held to be invalid or unenforceable by a court of competent jurisdiction, that part shall be severed, and the remaining sections shall remain in full force and effect.
13. GOVERNING LAW, DISPUTE RESOLUTION & JURISDICTION
13.1. These Terms and Conditions shall be governed by the laws of India.
13.2. In the event of any claim or dispute arising out of or in connection with these Terms of Service, including any question regarding their validity or termination, we shall each use reasonable endeavors to resolve the same by good faith negotiations, prior to initiating any legal action.
13.3. The courts in Bengaluru, India shall have exclusive jurisdiction with respect to any dispute arising hereunder.
14. ENTIRE AGREEMENT
14.1. These Terms of Service constitute the entire agreement between us as to the services provided by Indiassetz and supersede all other communication and understandings, written or oral, exchanged between us. Any modification of these terms shall be valid only if agreed to mutually in writing.

By registering as our client and creating an Account on the Website, you agree to the use of the information furnished by you for the purpose of delivery of our Services.
Any other use of the information furnished by you or any additional information that may be sought from you will only be with your further explicit consent, that may be provided hereunder or may be obtained from you from time to time. Please also note that the consent given by you may be withdrawn at any point in time without affecting the Services provided by us, so long as such information is not necessary for rendering our Services.
You may access the information provided by you at any time by logging in to your Account. If any information provided to us needs to be modified, please let us know.
Any information provided by you will be stored by us for so long as you maintain an Account with us. You can also seek erasure of the information provided by you. However, any information that we may be required to store for longer periods under applicable laws and regulations will be stored for such periods and only for that purpose.
